By accessing, installing, or utilizing the Loopit mobile application ("Application" or "App") and the associated services offered by us ("we," "us," or "our"), you agree to be legally bound by these Terms of Service ("TOS"). If you do not consent to any provision within these TOS, you are strictly prohibited from using our Application or services.
We reserve the sole and absolute right to update, revise, or alter these TOS at any moment. We will inform users of significant changes by modifying the "Last Updated" date located at the bottom of this document. We may, when deemed appropriate, also provide notification through the Application interface or via email. Your continued use of our App subsequent to the publication of the revised TOS signifies your conclusive acceptance and agreement to the amendments.
We retain the right to terminate, suspend, or modify our Application, services, and any features or materials provided through them, at our exclusive discretion and without requiring advance notice. We explicitly disclaim liability if, for any duration or underlying reason, the Application or any segment of the service becomes inaccessible or unavailable.
Certain features within the App may mandate that you establish a user account. You commit to providing precise, comprehensive, and up-to-date information during registration and to promptly update this data to ensure its consistent accuracy. You bear the sole responsibility for safeguarding the confidentiality of your authentication details and for all activities that are conducted under your account. You agree to immediately notify us following the discovery of any unauthorized access or security compromise pertaining to your account.
Our Application incorporates artificial intelligence (AI) technology to generate content, referred to here as "AI Outputs", based on the textual prompts and data you submit. By engaging with this AI feature of our App, you acknowledge and agree that:
The Application and all its components, including its entire content, operational features, and underlying software (including, but not limited to, data, code, text, visuals, media, and the organization, selection, and design thereof), are the proprietary assets of us or our third-party licensors. These assets are protected by local, federal, and international intellectual property laws, including those governing copyright, trademarks, and patents.
Provided you comply with all stipulations in these TOS, we hereby grant you a restricted, non-transferable, non-exclusive, non-sublicensable, and revocable license to access and use our Application and its services strictly for your private, non-commercial use.
When you generate or upload content through the App, which includes prompts, comments, and other materials (collectively, "User Content"), you retain all ownership rights to your User Content. However, by providing this User Content, you irrevocably grant us a perpetual, worldwide, royalty-free, non-exclusive, and sublicensable license to use, copy, modify, publicly display, distribute, and otherwise exploit such User Content for the purposes of operating, marketing, and refining our services. This authorization explicitly covers using your AI Outputs in promotional and marketing materials to showcase the capabilities of the App.
When you choose to publish any Created Content (AI Outputs), it becomes visible and available to the wider community of Application users. You acknowledge that other users may observe, interact with, and potentially adapt or "remix" your published Created Content. While you maintain your ownership rights to the underlying creation, you grant us and other Application users the necessary usage rights as specified in these TOS.
Our Application permits users to share and remix Created Content. When a user remixes another user's Created Content, suitable credit and identification will be provided to the original author. By publishing your Created Content, you agree that other users may be authorized to remix your creation, provided they properly attribute you as the original source.
You agree to refrain from engaging in, supporting, or facilitating any of the following prohibited actions:
We reserve the right to monitor, scrutinize, and delete any User Content or published Created Content that we deem to be in breach of these TOS or objectionable for any operational reason, without prior warning. We may utilize a combination of automated detection systems and human reviewers for content supervision. Violation of these TOS may lead to the removal of content, the temporary suspension or permanent termination of your account, and/or an application-wide ban from using our services.
You retain the ability to delete your account at any time via the Application's settings. Upon the successful deletion of your account, we will proceed to remove or de-identify your personal data in strict accordance with our Privacy Policy and all relevant legal mandates. When you remove User Content (including AI Outputs or comments) from the App, it is instantly removed from public visibility and becomes inaccessible to both you and other users. However, copies of the removed content may be retained on our backup servers to satisfy legal obligations, prevent fraud and abuse, maintain platform security, and assist with investigation procedures. Following a predetermined retention schedule, this content is permanently expunged from our systems. We reserve the sole and unequivocal right to suspend or terminate your account and access to the App at any time, without prior notification, for conduct that we determine is in breach of these TOS, harmful to other users, us, or any third party, or for any other operational necessity.
If the Application is sourced from the Apple App Store, you acknowledge that this TOS constitutes an agreement exclusively between you and us, and not with Apple, Inc. Apple accepts no responsibility for the Application or its content. Your use of the App must comply with the current Apple App Store Terms of Service. You affirm that Apple is under no obligation to provide any maintenance or technical support services for the App.
If the Application is sourced from the Google Play Store, you acknowledge that this TOS constitutes an agreement exclusively between you and us, and not with Google LLC. Google accepts no responsibility for the Application or its content. Your use of the App must comply with the current Google Play Store Terms of Service. You affirm that Google is under no obligation to provide any maintenance or technical support services for the App.
YOUR USE OF THE APPLICATION IS PERFORMED ENTIRELY AT YOUR OWN RISK. THE APP AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES WHATSOEVER, WHETHER EXPRESSED OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, BOTH EXPRESSED AND IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF RIGHTS.
IN NO EVENT SHALL WE, OUR AFFILIATES, OR OUR RESPECTIVE LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE HELD LIABLE FOR DAMAGES OF ANY NATURE, UNDER ANY LEGAL THEORY, ARISING FROM OR RELATING TO YOUR USE OF THE APPLICATION, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to defend, indemnify, and hold harmless us, our affiliates, and our respective directors, officers, employees, agents, contractors, licensors, and suppliers from and against any and all claims, liabilities, damages, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or directly related to your violation of these TOS or your use of the Application.
Our omission to enforce any term or condition stipulated in these TOS shall not be construed as a continuous or subsequent waiver of that specific term or condition, nor as a waiver of any other term or condition. If a court of competent jurisdiction determines any provision of these TOS to be invalid, unlawful, or legally unenforceable, that provision shall be limited or severed to the minimum necessary extent, ensuring the remaining provisions of the TOS remain fully binding and operational.
These TOS, along with our Privacy Policy, represent the complete and exclusive agreement between you and us regarding the Application, and supersede all previous and contemporaneous communications, understandings, agreements, representations, and warranties, whether written or oral, concerning the Application.
